Terms and Conditions of Membership
This Membership Agreement (“Agreement”) is entered into between the Member(s) and Evolve Boxing Club LLC (“EBC”).
Member(s) and EBC may be referred to individually as a “Party” and collectively as the “Parties”. This Agreement is valid for one
month from the date of execution and will auto-renew upon termination. 30 day written notice is required by member in order to
deem contract terminated. Any renewals and continuance of membership is governed by these Terms and Conditions unless
replaced by a new written agreement.
FEES AND DUES
Enrollment Fee: To apply for membership, a one-time enrollment fee of $50.00 is required. The Enrollment Fee is non-
refundable.
Monthly dues for the following month, along with authorized Member charges, will be collected electronically after the 1st of
each month, unless paid prior to the 1st using other means. All Members are required to provide Electronic Funds Transfer (EFT)
information below. In the event we are unable to collect payment electronically, the Member will be notified, and payment must
be made by other means, no later than the 20th day of the month, in order to maintain membership privileges.
• I understand that all Enrollment Fees and Membership dues are subject to applicable state sales tax.
• I understand that all agreements are for 12-month terms and will automatically renew on a month-to-month basis
until cancelled by the member.
• I understand that my account will be charged and billed with the monthly billing for any programs and services not
paid at time of registration.
• I understand that all dues must be current at all times or fitness membership will be suspended or terminated.
All balances which are 3 days past due are subject to a $25.00 late fee. In addition to other rights, Management reserves the
right to:
1. Collect the current and past due balance.
2. Suspend and/or terminate membership privileges.
3. Recover from Member(s) any collection fees, court costs, and reasonable attorney’s fees agreed to be 30% of the
entire balance due and owing.
4. Collect a service fee of $30.00 for any check or draft payable to the Evolve Boxing Club which is not honored.

authorization will remain in place unless otherwise notified in writing. Additionally, if any fees are due according to the terms of
this Agreement, I authorize EBC to revise the monthly amount to cover all outstanding amounts due.

EBC RESPONSIBILITIES:
a. EBC will provide a fully-equipped exercise facility, to include a fitness training area, for the Member(s) use.
b. EBC will offer classes for the Member(s) participation based upon the program elected in the Membership Application.
c. EBC will offer loaner equipment for the Member(s) use for a limited time to allow for the Member(s) to purchase their
own equipment.
d. EBC will properly clean and sanitize the facility and equipment between classes and each evening.
e. At times, and due to scheduled repair and maintenance, weather concerns, or special events, it may be necessary to
close the facility, for a period of time. In these instances, notice shall be provided to the Member(s).
MEMBER(S) RESPONSIBILITIES:
a. Member(s) will act appropriately at all times, and refrain from engaging in any behavior that: (1) endangers said
Member, (2) endangers other Member(s) or EBC Staff, or (3) damages the property of EBC or any Member.
b. Member is responsible for purchasing, either through EBC or elsewhere, their own Participant Equipment (as
applicable: mouthpiece, gloves, wraps, shin guards, etc.)
c. Member(s) will assist in the cleanup and sanitation of shared and loaner equipment following the conclusion of class.
d. Member(s) will pay all dues in a timely manner and notify EBC if any updates or changes are necessary to EFT
information.
e. Member(s) will be responsible for the behavior of any guests brought into the facility.
f. Member(s) understands that EBC will provide access to the building using a barcode system. Supervision is not always
provided at the facility. Member(s) is not authorized to share this barcode with any non-members and doing so may
result in loss of membership
MEMBER’S HEALTH WARRANTY.
The Member(s) warrants and represents that the Member or any family member or guest entitled to use the facilities of EBC has
no disability, impairment, or ailment preventing him/her from fully engaging in active or passive exercise, or that will be
detrimental or adverse to such person’s health, safety, or physical condition if he/she does so engage or participate. The
Member(s) acknowledges and agrees that: 1) EBC will rely on the foregoing warranty in issuing the Membership; 2) EBC shall
have no obligation to perform a fitness assessment or similar testing to determine the Member’s physical condition; 3) if any
fitness assessment or similar testing is performed by EBC, it is solely for the purpose of providing comparative data with which
the Member(s) can track progress in a program and is not for diagnostic purposes; 4) EBC shall not be subject to any claim,
demand, or injury whatsoever on account of EBC’s evaluation or interpretation of such fitness assessment or similar testing; and
5) EBC shall not be liable for any injury arising out of the Member’s disability, impairment or ailment preventing him/her from
engaging in active or passive exercise, or that would be detrimental or adverse to such person’s health, safety or physical
condition if he/she does so engage or participate. Each Member and guest should be aware of his/her medical history and should
consult with a physician prior to engaging in exercise or continuing to exercise if a medical condition appears or appears to be
developing. Additionally, regardless of prior medical issues, Member(s) is fully responsible for any injuries sustained by the
Member, family member, or guest while at EBC facilities or events.
LIABILITY AND WAIVER OF LIABILITY.
The Member(s) shall be liable for any property damage and/or personal injury (caused by the Member, Member’s Family, Guest,
or any other person brought to the facility by the Member) at Evolve Boxing Club or any activity or function operated, arranged,
or sponsored by Evolve Boxing Club. It shall be the obligation of the Member(s) to pay for any costs involved upon presentation
of a statement thereof. Any and all use of the EBC facilities, or participation in EBC activities operated, arranged, or sponsored
by the Evolve Boxing Club, either on or off of the EBC premises by the Member(s), Member’s Family or Guest(s) shall be AT
SUCH PERSON’S OWN RISK, and EBC shall not be held liable for any injuries or damages to such person, or the property of
such person, or be subject to any claim, demand, injury, or damages. The Member(s), individually, and on behalf of the
Member’s personal representative, heirs, administrators, assigns and successors does hereby expressly forever release and
discharge Evolve Boxing Club, its successors and assigns, as well as its officers, agents and employees from all such claims,
demands, actions, or causes of action.
SUSPENSION/TERMINATION OF MEMBERSHIP BY MANAGEMENT.
Management has the right to suspend and/or terminate any membership for non-payment of dues, fees, or for behavior inimical
to the enjoyment of Evolve Boxing Club by other members and staff for any reason deemed sufficient in the sole discretion of
Management.
BUYER’S RIGHT TO CANCEL OR TERMINATE.
Member(s) have the right to cancel this Agreement within three (3) business days of execution. Cancellation must be in writing
and delivered to EBC either in person, by electronic mail, fax, or certified registered mail. All faxed and mailed cancellations will
be dated 30 days from fax date or postmark. Dues for the final month will be pro-rated and billed during the final month. In the
event of a three (3) day cancellation, EBC will refund all enrollment fees and dues paid. Month-to-month members may
voluntarily terminate membership at any time after their initial 12-month agreement for any reason by: 1) notifying the Evolve Boxing Club in writing by fax, e-mail, certified mail, return receipt requested or in person 30 days prior to cancellation and; 2)
paying all current charges prior to termination. The Member(s) may also cancel if the Member(s) relocates more than 20 miles
from EBC and provides adequate proof of residence. EBC Enrollment Fees are non-refundable except as indicated above.
ENTIRE AGREEMENT.
This Agreement sets forth the entire understanding of the Parties with respect to the subject matter of this Agreement and
supersedes any previous or contemporaneous agreements, understandings or communications, whether written or oral, relating to
such subject matter. This Agreement may be executed and delivered (i) in any number of counterparts, each of which will be
deemed an original, but all of which together will constitute one and the same instrument, and/or (ii) by exchange of facsimile or
PDF copies, or secure electronic signature and delivery method (e.g., DocuSign), in which case the instruments so executed and
delivered shall be binding and effective for all purposes.
IN WITNESS WHEREOF, and by executing this Agreement, the Member(s) agrees to apply for Membership and abide by the
terms and conditions of this Agreement. This Agreement is effective as of the last date of signature below.
